Court said Lauren has the right to sell her shares for $20M, the value of what Anthos offered. Court also said that it wouldn't be right to completely fuck Couch's business up and stick him with a 50% owner/partner he didn't like just because Lauren wants to sell. So court gave Couch a couple days to come up with $16M and change--the after-tax value of the $20M Anthos was willing to pay (good thing they did it before Jan. 1)--to purchase Lauren's 50% stake. If Couch couldn't come up with the money by Nov. 15 or 16 (don't remember), Lauren was free to sell to Anthos.

Couch got a "loan" from another equity company to raise the money. He, HQ, and @Fers have proclaimed victory because they were able to resist being bought by an equity company.

The arrangement is a little strange. Anthos was left out in the cold. They will sue.
Hey Gin, Who would Anthos be able to sue in all this? If the judge involved set these terms and they were followed by both parties, how would either couch or his ex be liable to Anthos for anything?

Dale Saran One wanted shares: i.e. ownership and control in order to pillage the model and affiliates. The other simply a good interest rate on their loan. i.e. strict debt lending, high-yield coupon.

That doesn't mean what he thinks it means. "High-yield" means a high rate of interest. Meaning they got an above market loan. Bragging about this why?

Anyone find it strange that a gym owner in an industrial park was the victim of an armed robbery? Gyms aren't exactly known for having cash on hand.
Arms are the only true badge of liberty. The possession of arms is the distinction of the free man from the slave.

I prefer dangerous freedom over peaceful slavery.

You are thinking logically... criminals don't always use that logic.

An old friend of mine from HS is in jail for life for killing a woman over a 5 fucking dollar robbery.

Does nobody understand that the judge simply made it appear that she won so she couldn't appeal, meaning that she really lost?

I don't see how she lost when the ruling was pretty much a draw.

@fit's whole stance was her not being legally allowed to sell to Anthos. The judge declared she can, but also gave Greg a chance to buy.

It was a fair ruling IMO and the fact he got the money is another story.

If he didn't get it, Anthos would be in the picture.

Confusing, but it appears that way.
Incident to a divorce, transfer of property between spouses is non-taxable. From a tax perspective, the principal on this sale will be treated as a gift between spouses rather than income. If the sale were to a third-party though, the gain on sale would be treated as income (making it taxable).

Hey Gin, Who would Anthos be able to sue in all this? If the judge involved set these terms and they were followed by both parties, how would either couch or his ex be liable to Anthos for anything?
Most federal judges are smart enough to know how much they can fudge without getting reversed, so I don't anything will happen. But Anthos might sue Lauren depending on the terms of their offer to purchase (I don't know how it was structured). They might sue @F HQ and Couch for tortious interference with a purchase contract (weak). I don't see either having legs except for the fact that the judge used Anthos's offer to buy as a valuation for Lauren's judgment, i.e. the judge gave Lauren the expected actual value of her Anthos contract had it gone through. One could argue that using the Anthos offer in that way creates some sort of quasi-contract for which it could sue (using a single purchase offer to assign value is a bit of a stretch). It's probably an academic argument and wouldn't get anywhere in real life. Then again this isn't real life; it's crossfit.

If I were Lauren, I'd sue Dale Saran for breach of fiduciary duty and confidentiality.

And if I were Anthos, I'd buy the loan from whatever equity firm bailed out Couch. This dick measuring contest may not be over.

Lulz at getting shit two Jay Ashmans.

=D> =D> =D>

And lulz at Dale for declaring himself savior of the company (not on my watch!). Corporate counsel attorneys always want a chair at the trial table, but they don't say shit once the bullets start flying.

I don't understand the Grisham comments. And I don't understand while Dale always acts like he's gatekeeper to some ominous truth that would unleash some sort of horror upon the world. What a douchebag.

Siggybaby I know you know this but I'll bring it up anyway. We've all had a phase or two in our life where we wanted to be a bit more important or relevant than our actual station in life at the time conferred. Whatever role Dale played in this whole fiasco it's probably not as vital as he'd like it be so there's a tad bit of overcompensation. A truly reasonably self-assured person in a similar situation either wouldn't say anything or just lay it all out there and not care.

Yes he is. Hence why I wanted to have a little fun with him. Of course he acted that way instead of the way he should. He's a piece of shit as a lawyer.

YES.

That is actually very astute and very viable, and lawyers don't like getting sued (and they carry insurance).
