I got involved in several back-and-forths with Wolf over at the CF boards and always had a hard time deciding how to understand him. At times he seems incredibly lucid, both intelligent and well-balanced, with a good understanding of his stuff and no particular madness within. But at other times (usually on topics like you mention) he seemed to pretty much have nothing but disdain for contrary viewpoints. A few points on legal issues here. This is for educational purposes and not for legal advice.
A franchise tax is a charge for any business doing business in a state. It has nothing to do with franchises.
The FTC includes a degree of control or assistance as one of the elements of its definition of a franchise (along with a mark and a fee), but it is a fuzzy test. If CrossFit is relying on not meeting that element, it is taking a significant risk. The consequence would be an FTC investigation along with administrative penalties. The federal act gives no private causes of action.
Many states have franchise laws, and for the most part their definitions are different from the FTC's. They generally requre a mark and a fee, as does the FTC definition, but the third leg is generally a "community of interest" between the franchisor and the franchisee, or the franchisor must provide the franchisee a "marketing plan." If CrossFit is relying on not meeting any state's franchise law, it again is taking a significant risk. State franchise laws generally do provide a private cause of action.
Another interesting area of inquiry is whether CrossFit is a "business opportunity" within the meaning of business opportunity statutes.
On a related legal tack, the way CrossFit marketed the RRG was unbelievable. I don't know what CrossFit was actually selling, and I'm not sure CrossFit has informed its affiliates yet of what they bought, but any business that sells interests in a company that way is taking significant risks.
If a group of affiliates got together to get their money back, my hunch is they'd have very powerful arguments for doing so. As a practical matter, though, there may not be enough money involved for any one affiliate to press the matter. It has always struck me as a bit hypocritical that the accepted @fit political ideology is Libertarianism, with almost all rest day posts centered around deregulation of one thing or another or how global warming is a figment of Al Gore's imagination. I never thought I could hate and disrespect anyone more than pudding until castro! I hate that fucker and rob abd dutch are not going to go lightly.
